These Terms of Service ("Terms") form a binding agreement between Amino Stack IQ and you ("Customer" or "you") and govern your access to and use of aminostackiq.com and the general-purpose features of the platform (the "Services"). Surface-specific terms (Clinic Portal Terms, Organization Terms, Admin Acceptable Use) supplement these Terms for the relevant portal.
1. Eligibility & accounts
You must be at least 18 and able to form a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
2. Subscriptions, fees & taxes
Paid plans are described on our pricing pages (clinics and organizations). Fees are billed in advance on the cadence shown at checkout and are non-refundable except where required by law. You are responsible for applicable taxes.
3. Acceptable use
- No unlawful, infringing, or harmful use of the Services.
- No attempts to reverse engineer, probe, or interfere with the platform.
- No uploading of content you do not have rights to upload.
- No use of the Services to provide medical advice outside your scope of practice.
4. Customer data & ownership
You retain all rights in data you submit. You grant us a limited license to host, process, and display Customer Data solely to provide the Services. We do not sell Customer Data.
5. Intellectual property
The Services, including software, templates, and documentation, are owned by Amino Stack IQ and its licensors. No rights are granted except as expressly set out in these Terms.
6. Confidentiality
Each party will protect the other's confidential information with the same standard of care it applies to its own, and at least reasonable care.
7. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMINO STACK IQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE SERVICES ARE NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL JUDGMENT.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, AND EACH PARTY'S TOTAL LIABILITY WILL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9. Indemnification
You will defend and indemnify Amino Stack IQ from third-party claims arising from your Customer Data or your breach of these Terms.
10. Term & termination
These Terms remain in effect while you use the Services. Either party may terminate for material breach not cured within thirty (30) days. Upon termination, your access ends and we will delete or return Customer Data as described in the applicable surface terms.
11. Governing law & venue
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of laws principles. Exclusive venue lies in the state and federal courts located in Manatee County, Florida.
12. Changes
We may update these Terms. Material changes will be communicated with reasonable notice. Continued use after the effective date constitutes acceptance.
